Rwanda has made significant strides in strengthening its institutional, legal and regulatory frameworks. As the country advances its ambitions to become a competitive investment destination, deepen its capital markets and promote sustainable economic development, effective corporate governance remains essential to institutional performance, investor confidence and accountable leadership. Yet, strengthening governance requires more than legislation. For instance, it also requires competent, ethical and well-prepared directors capable of providing strategic direction, exercising independent judgement, overseeing management and safeguarding organisational resources. This presents an important opportunity for Rwanda: establishing an Institute of Directors Rwanda (IoDR) to professionalise directorship and strengthen board effectiveness across the public and private sectors. Building on our progress Rwanda’s evolving corporate governance landscape reflects a growing commitment to accountability, transparency and responsible leadership. On 4 October 2026, The New Times reported on new Capital Market Authority regulations introducing stronger requirements relating to board oversight, independence, disclosure, conflicts of interest and board committees. These developments reinforce the importance of effective board leadership. However, the effectiveness of governance frameworks ultimately depends on the ability of directors to translate regulatory requirements into sound decisions and meaningful oversight. Directorship is a significant responsibility requiring continuous learning. As organisations confront increasingly complex financial, technological, strategic and sustainability risks, directors need opportunities to strengthen their knowledge, evaluate their performance and remain abreast of emerging governance practices. An Institute of Directors Rwanda could provide the professional infrastructure to support this development. The proposal has an important institutional foundation. On 12 February 2026, the African Development Bank published a call for expressions of interest for a technical adviser to support the establishment of an Institute of Directors in Rwanda under the Rwanda Capital Market Development Project. The priority now is to build on this opportunity and develop a credible, sustainable institution responsive to Rwanda’s governance needs. Learning from others Rwanda can draw valuable lessons from countries that have established institutions dedicated to director development and corporate governance. South Africa’s Institute of Directors has contributed to director professionalism and the advancement of corporate governance practice, including through its involvement in the King Committee on Corporate Governance. The Mauritius Institute of Directors (MIoD) has contributed to strengthening corporate governance through director training and professional development, board performance evaluations, governance advisory services and the promotion of ethical leadership. It has also supported the development of governance practices through collaboration with Mauritius's National Committee on Corporate Governance, including contributing to the development of the country's 2016 Code of Corporate Governance. In Kenya, the Institute of Directors Kenya promotes director training, certification, board evaluation and governance advisory services. These activities provide directors and organisations with opportunities to strengthen their governance capabilities. In Uganda, the Institute of Corporate Governance of Uganda supports governance training, board induction, evaluation and institutional capacity building. What Could IoDR achieve? A well-designed institute could make a meaningful contribution in five key areas. First, professional development and certification. It could provide structured training, director induction and continuing professional development in strategic leadership, financial oversight, risk management, ethics and directors’ legal responsibilities. Second, ethical leadership and professional standards. Through a professional code of conduct and practical guidance, it could promote integrity, accountability, independence of judgement and responsible boardroom decision-making. Third, board effectiveness. The institute could support board and committee evaluations, skills assessments, succession planning and targeted development programmes to help organisations identify and address governance gaps. Fourth, research and policy dialogue. By working with regulators, universities, professional bodies and the private sector, it could contribute to governance research, professional publications and evidence-based policy discussions on emerging challenges, including artificial intelligence, cybersecurity and sustainability. Fifth, mentorship and future director development. It could facilitate knowledge transfer between experienced directors and emerging board leaders, strengthening the pipeline of competent professionals available to serve on boards. Importantly, the institute would complement existing regulators and professional bodies, not replace their statutory responsibilities. A Call for collective action The establishment of an Institute of Directors Rwanda should not be left to individual governance professionals to pursue in isolation. It requires a coordinated national effort. The Government of Rwanda and policymakers should recognize professional directorship as an important component of institutional capacity building and support constructive engagement towards establishing the institute. Regulators and public institutions should contribute their expertise to ensure that its mandate complements existing governance frameworks and supports regulatory objectives. State-owned enterprises should embrace director development as an investment in the responsible stewardship of public assets, financial sustainability and organizational performance. The private sector, financial institutions and investors should recognize the value of effective boards in strengthening accountability, supporting sustainable growth and building investor confidence. Professional associations, universities and experienced directors should contribute knowledge, partnerships, research and practical experience to help build a credible and sustainable institution. The institute’s success should ultimately be measured not simply by membership numbers or training programmes delivered, but by its contribution to stronger boards, better-informed decisions and improved governance practices. Investing in Rwanda’s governance future Effective corporate governance is closely connected to how organisations manage risks, allocate resources, protect stakeholders and create sustainable value. For state-owned enterprises, strong boards support accountability and responsible management of public resources. For private businesses, effective governance can strengthen succession planning, business sustainability and access to capital. For investors, credible governance arrangements can enhance confidence in leadership and organisational oversight. An Institute of Directors Rwanda cannot guarantee these outcomes on its own. Nevertheless, it could strengthen the professional capacity of those entrusted with governing the organisations that drive Rwanda’s development. Rwanda has an opportunity to build on its governance achievements by investing not only in stronger rules, but also in the people responsible for implementing them. Rwanda does not need to choose between strong governance regulation and strong director development. Both are essential, and each reinforces the other. The future of corporate governance depends not only on the rules we establish, but also on the people entrusted with applying them. An Institute of Directors Rwanda would be a forward-looking investment in our institutions, our economy and our country's sustainable future.
